Terms of service

1. About these terms

These Terms of Service govern your use of the Codeup Systems website and service. By accessing our website or engaging our service, you agree to these terms.

Codeup Systems is operated by Kate Macdonald, sole trader, ABN 70 257 577 574, Bondi Junction, New South Wales, Australia. “We”, “us”, and “our” means Codeup Systems.

2. The service

Codeup Systems assesses, cleans, and maintains data records held in your CRM, accounting software, or job management system. The service operates in three stages:

  • Assessment — a read-only scan of your records. Nothing is changed at this stage.
  • Approval — you review every proposed change and decide what proceeds. Nothing is actioned without your explicit written sign-off.
  • Activation — approved changes are written back to your system. Every change is timestamped and reversible within 30 days of execution.

Where you provide data via CSV export, you are responsible for the accuracy and completeness of the exported data. We will process what you provide.


3. Your responsibilities

By engaging Codeup Systems, you confirm that:

  • You are authorised to grant us access to the systems and data you connect to our service.
  • The data you provide or grant access to does not violate any third party rights or applicable laws.
  • You will review the assessment report and all proposed changes carefully before approving activation.
  • You are responsible for verifying that approved changes are correct before the 30-day revert window closes. After 30 days, changes become permanent and corrections may incur additional fees.
  • You will revoke our API access promptly if you no longer wish us to have access to your systems.

4. Data access and handling

We access your data solely to deliver the service. We do not store copies of your database beyond the 30-day revert window. We do not share your data with third parties. We do not use your data for any purpose other than delivering the service.

5. Payments and subscriptions

Where you engage Codeup Systems as a paying client:

  • Fees consist of an initial assessment fee and an ongoing monthly maintenance subscription, as agreed at the time of engagement.
  • Payments are processed via Stripe. By providing payment details, you authorise Stripe to charge the agreed fees on the agreed schedule.
  • Subscriptions renew automatically on a monthly basis unless you cancel before the renewal date.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
  • If a payment fails, we will notify you by email. If payment is not resolved within 7 days of notification, we reserve the right to suspend the service until payment is received. Outstanding amounts remain payable.
  • We reserve the right to update our pricing with 30 days written notice. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

6. Reversibility and no hard deletes

Every change made during activation is logged with a timestamp. Any individual change can be reversed within 30 days of execution at no additional charge. After 30 days, changes are permanent. Corrections to data after the revert window closes may be treated as a new service engagement and may incur additional fees.

Codeup Systems never permanently deletes records. Duplicate merge recommendations are always presented for your approval and executed as merges, not deletions.


7. Limitation of liability

To the maximum extent permitted by Australian law:

  • We are not liable for any loss or damage arising from changes you have reviewed and approved, whether the data was accessed via API or provided by you via CSV export.
  • We are not liable for any indirect, consequential, special, or incidental loss arising from your use of the service.
  • Our total liability to you for any claim arising from the service is limited to the total fees paid by you in the three months immediately preceding the claim.

Nothing in these terms excludes any consumer guarantee or right that cannot be excluded under the Australian Consumer Law.


8. Intellectual property

All content on the Codeup Systems website, including text, design, code, and graphics, is owned by Codeup Systems and protected by applicable intellectual property laws. You may not reproduce or distribute any part of it without our written permission.

Your data remains yours at all times. We claim no ownership over any records we access, process, or return to you.


9. Termination

Either party may terminate the service relationship with 14 days written notice to the other party. Immediate termination by us is available in the event of non-payment, breach of these terms, or misuse of the service.

On termination:

  • You should revoke our API access from your connected systems immediately.
  • We will delete all data we hold relating to your account within 30 days of the termination date.
  • Any amounts owing at the date of termination remain payable in full.

10. Dispute resolution

If a dispute arises in connection with these terms or the service, the parties agree to attempt to resolve it in good faith through direct negotiation for a minimum of 14 days before initiating any formal legal proceedings. To raise a dispute, contact us in writing at hello@codeupsystems.com.


11. Governing law

These terms are governed by the laws of New South Wales, Australia. Any disputes not resolved through the process in clause 10 will be subject to the exclusive jurisdiction of the courts of New South Wales.


12. Changes to these terms

We may update these terms from time to time. We will notify existing clients by email of any material changes with at least 14 days notice before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.
